Welcome to SendFast (the "Service"), operated by Tekodot Ltd ("Tekodot," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of SendFast, including any content, features, or services offered on or through https://sendfast.app (the "Website").

2. Eligibility and Scope
Age Requirement: You must be of legal age under UK law to enter into binding contracts in order to use this Service.
Location Restrictions:
- We reserve the right to exclude or restrict access to individuals or entities located in countries subject to UK sanctions or otherwise restricted under applicable laws.
- While we endeavor to make our Service available globally, Tekodot is not liable for any limitations or restrictions on service availability outside of the UK.
Acceptance of Terms: By signing up, you represent that you meet these eligibility requirements, and that all information you submit is accurate and truthful.
3. Account Registration and Security
Third-Party Authentication: We partner with Clerk to provide user authentication. You agree to abide by any terms or conditions set by Clerk regarding account creation and security.
Account Responsibility: You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
Third-Party Services: In addition to Clerk, we use third-party services such as UploadThing for file handling and storage, and Stripe for payment processing. By using our Service, you agree to comply with any relevant terms from these third-party providers.
4. Subscription Plans, Billing, and Payments
Subscription Tiers:
Basic – USD 5/month (or annual equivalent)
- Up to 5GB file size
- Unlimited file transfers
- Basic transfer analytics
- 7-day file retention guaranteed (we may retain files longer at our discretion)
Pro – USD 15/month (or annual equivalent)
- Unlimited file size
- Unlimited file transfers
- Advanced analytics & tracking
- Real-time notifications
- Infinite file retention (subject to compliance with these Terms)
- Password protection
- Priority support
Pricing is exclusive of VAT or any applicable sales tax, which may be added by us or our payment partner (Stripe) as required by law.
Billing Cycle:
- By default, subscriptions are billed on a monthly basis. However, you may opt for annual billing to receive the Service for a 12-month period at a time.
- Your subscription will automatically renew at the end of each billing cycle unless canceled in accordance with this Section.
Payments:
All payments for SendFast are processed through Stripe. You must provide a valid payment method. By submitting your payment details, you authorize Stripe to charge the subscription fee (plus any applicable taxes).
Cancellation and Termination:
- You can cancel your subscription at any time through your Stripe account or account settings in SendFast. You will retain access to the Service until the end of your current billing cycle.
- No refunds are provided unless required by UK law or other applicable consumer protection laws.
5. File Storage and Retention
File Retention:
- Basic Plan: Files are retained for at least 7 days. We may, at our discretion, keep files longer, but no guarantee beyond 7 days is provided.
- Pro Plan: Files are stored indefinitely for the duration of your subscription. If your subscription lapses, files may be deleted in accordance with Section 5.3.
Deletion Upon Subscription Lapse:
We reserve the right to delete all files associated with an account promptly after subscription lapse or termination, subject to any obligations under UK law or GDPR.
File Size and Usage:
- Basic Plan: Up to 5GB per file.
- Pro Plan: No explicit file size limit, but we reserve the right to impose a cap if usage is excessive or abusive.
- Regardless of plan, we guarantee a minimum of 100GB total storage capacity, subject to fair usage. If we suspect abuse or illegal activity, we may impose stricter limits or remove files.
Third-Party Storage:
Files you upload may be stored globally via UploadThing, which utilizes partners (e.g., AWS). By using the Service, you consent to such cross-border data transfers where necessary.
6. Acceptable Use Policy
Prohibited Content:
You may not use SendFast to upload, post, store, transmit, or share any content that:
- Is illegal under UK law or the law of your residence.
- Infringes upon the rights of any third party, including intellectual property rights.
- Contains harmful, offensive, or abusive material.
- Violates any applicable export or import regulations.
User Responsibility:
You are solely responsible for the content you upload and share via SendFast. Tekodot does not screen or endorse user-uploaded content. If your content violates these Terms, you may be subject to account suspension or termination without notice.
Enforcement:
- Tekodot reserves the right to investigate alleged violations of these Terms.
- We may remove, disable, or restrict access to any content that violates this Acceptable Use Policy.
- We may report any unlawful or suspicious activity to relevant law enforcement authorities.
7. Notifications and Tracking
Notifications:
- By default, you will receive notifications when shared file links are opened or files are downloaded. These may come via email or in-app notifications.
- We do not currently provide an opt-out for these notifications, except as required by law.
Tracking Data:
We may collect IP addresses, timestamps, and basic usage analytics to monitor file downloads and link usage. This processing is covered in our Privacy Policy in compliance with UK GDPR and other applicable data protection laws.
8. Privacy and Data Protection
Compliance: Tekodot complies with UK GDPR and any other applicable data protection regulations. We process personal data in accordance with our Privacy Policy.
Data Location: Data may be stored in data centers worldwide via our third-party partners (e.g., AWS).
Breach Notification: In the event of a data breach, we will notify users and relevant authorities as required by applicable law.
9. Intellectual Property
Ownership of User Content: You retain all rights to the files you upload. By uploading content, you grant Tekodot a non-exclusive, worldwide, royalty-free license to store, process, and transmit the content solely for the purpose of providing the Service.
Tekodot & SendFast Branding:
- All trademarks, logos, and service marks displayed on SendFast are the property of Tekodot or its licensors.
- You are prohibited from using any Tekodot or SendFast branding without prior written permission.
10. Warranties, Disclaimers, and Limitation of Liability
Warranties: The Service is provided on an "as is" and "as available" basis. To the fullest extent permissible by law, Tekodot disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
Limitation of Liability:
- Tekodot shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of SendFast.
- Tekodot's total liability to you for all claims arising out of or related to these Terms or SendFast shall not exceed the greater of the total amount of fees you paid for your subscription in the 12 months preceding the event giving rise to the liability or £50 GBP.
No Guarantee of File Integrity: We do not guarantee that uploaded files will be error-free or that access to the Service will be uninterrupted.
11. Indemnification
You agree to defend, indemnify, and hold harmless Tekodot, its affiliates, directors, officers, employees, and agents from any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from:
- Your use of and access to SendFast.
- Your violation of any term of these Terms.
- Your violation of any third-party rights, including intellectual property or privacy rights.
12. Termination
By You: You may terminate your SendFast account at any time by canceling your subscription and ceasing all use of the Service.
By Tekodot: We may suspend or terminate your account immediately if you violate these Terms or if required by law.
Effect of Termination: Upon termination, your right to use the Service ceases immediately, and we may delete your files in accordance with our file retention policy (Section 5).
13. Governing Law and Dispute Resolution
Governing Law: These Terms shall be governed by and construed in accordance with the laws of Northern Ireland, without regard to its conflict of law provisions.
Jurisdiction: You agree that any dispute arising out of or relating to these Terms shall be brought exclusively in the courts located in Northern Ireland, and you consent to the personal jurisdiction of such courts.
14. Modifications to These Terms
Right to Modify: Tekodot reserves the right to modify or replace these Terms at any time as required by law.
User Notification: We will provide notice of any material changes as required by law (e.g., via email or a notice on our Website). Your continued use of the Service after any such update constitutes your acceptance of the revised Terms.
15. Miscellaneous
Entire Agreement: These Terms, along with our Privacy Policy, constitute the entire agreement between you and Tekodot regarding SendFast and supersede any prior agreements or understandings.
Severability: If any provision of these Terms is found by a court of competent jurisdiction to be invalid, the remaining provisions shall remain in full force and effect.
Waiver: The failure of Tekodot to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
Assignment: You may not assign or transfer any rights or obligations under these Terms without Tekodot's prior written consent.
